duly designated representative of the respective bodies.)

All members in good standing for 2014 will receive a mailed notice of this meeting.

Regarding Continuance:

On October 17, 2011 the Canada Not-for-profit Corporations Act (the “New Act”) came into effect. IBBY Canada, like all Corporations incorporated under the Canada Corporations Act, has until October 2014 to continue under the New Act. As part of the process, corporations must have their members approve Articles of Continuance (which state the purposes of the corporation, among other basic corporate information) and submit the Articles to Corporations Canada for certification. Corporations are also encouraged to update their operating by-laws so that they conform with the terms of the New Act. If we have not done so by October 18, 2014, Corporations Canada will assume that we are no longer active and, after notifying our executive in writing, can proceed to dissolve us!

We are enlisting your help to ensure that we are able to bring books and children together into the future. At the Special Meeting of Members to be held in Toronto on July 8th, we will ask you to approve our application to continue under the New Act.

Your Board of Directors has prepared Articles of Continuance and has revised our operating By-laws. The continuance documents and revised By-Laws will be made available on our website, in advance, for your review at www.ibby-canada.org.

While we welcome your attendance at the Special Meeting in person, you do not need to be in Toronto to vote. If you cannot attend the meeting in person, please take the time to fill out the proxy form and mail it back to us in the envelope provided, so that you can be part of our historic quorum. We need to have 20 percent of our members participating in the vote and a two-thirds majority in order to approve the continuance of IBBY Canada. Your participation is essential for the continuation of our organization and the work we do.

Members in good standing for 2014 are eligible to vote at the meeting.
